Article I

Section 1. Name

The name of this organization shall be the Indiana University South Bend Alumni Association, a constituency of the Indiana University Alumni Association.

Section 2. Mission

The mission of the IUSB Alumni Association is to promote the interests of IUSB and to establish and maintain a mutually beneficial relationship between IUSB, its alumni, and its community.

Article II

Section 1. Membership

Any graduate, former student, or friend of IUSB is eligible to become an active member of the IUSB Alumni Association.

Section 2. Dues

Paid membership in the IUSB Alumni Association will provide active membership status. The cost of membership is determined by the IU Alumni Association, which provides a dues allocation to the IUSB Alumni Association. Membership benefits are coordinated by the IUSB Alumni Association with the IU Alumni Association.

Section 3. Fiscal Year

The fiscal year shall coordinate with that of the IU Alumni Association, July 1 through June 30.

Article III

Section 1. Officers

The officers of the IUSB Alumni Association shall consist of a President, Vice President, Secretary, Treasurer, and Immediate Past President. All officers must be dues-paying members of the IUSB Alumni Association, and shall constitute the Executive Committee.

Section 2. Board of Directors

The Board of Directors ("the Board") shall consist of at least 20 members, including one representative each from the IUSB divisions that have 500 graduates or more: currently Arts, Business & Economics, Dental Education, Education, General Studies, Liberal Arts and Sciences, Nursing, and SPEA. Divisions that attain 500 graduates or more shall have representation added to the board. In addition, the Board shall consist of up to 12 at-large members in addition to the five officers and any ex-officio members as deemed necessary by the Executive Committee. All Board members must be or become dues-paying members of the IUSB Alumni Association.

Section 3. Terms of Office

  1. Officers. The term of office for the officers for the IUSB Alumni Association shall be two years. Officers may be re-elected, but successive terms of office shall be limited to two.
  2. Board of Directors. The term of office for voting members of the Board shall be three years. Board members may be re-elected, but successive terms of Board membership shall be limited to two.
  3. Ex-Officio Members. Ex-officio members to the Board shall be determined by the Executive Committee, with the recommendation of the Board. The IUSB Alumni Association's Alumni Director, a staff position, shall be a permanent ex-officio member.
  4. Vacancies. If a vacancy occurs, the Executive Committee shall elect new a Board member to fill the vacancy.

Section 4. Elections

Officers and new board positions will be filled through nominations made by the Board and general membership, accepted on an on-going basis, to the Executive Council, which will select officers and new Board members to be approved by the Board at the May meeting. Terms for all positions shall begin July 1 and end June 30 of the appropriate year.

Article IV

Section 1. Duties of Officers.

The duties of the officers shall be those set forth below and such additional duties as assigned by the Board. In addition, all officers shall serve as members of the Executive Council, which shall meet before every Board meeting to set the agenda and review issues.

  1. President. The President shall serve as Chairman of the Board and an ex officio member of all committees. He/she shall manage the day-to-day business of the IUSB Alumni Association, call Board meetings, and preside at the meetings. The President shall represent the Board at official functions, and serve as a member of the IUSB Advisory Board.
  2. Vice President. In the absence or disability of the President, or at his/her request, the Vice President shall perform the duties of the President. If the office of the President becomes vacant, the Vice President shall become President for the remainder of the term. He/she shall perform such additional duties as may be delegated by the President. The Vice President will ascend to the Presidency following his/her term as Vice President.
  3. Secretary. The Secretary shall arrange for the keeping of official minutes and sending of official correspondence.
  4. Treasurer. The Treasurer shall be responsible for reporting the financial condition of the Board budget at every meeting, and for reviewing the status of the budget on behalf of the Board.
  5. Past President. The immediate Past President shall serve as a member of the Executive Council.

Section 2. Duties of the Board.

  1. The business of the IUSB Alumni Association is managed by the Board. The Board is empowered to establish policy, goals, events, and programs. The Board is also empowered to approve expenditures consistent with those policies.
  2. The Board shall conduct a minimum of five meetings each year, as scheduled by the President as his/her discretion or upon petition to meet called by at least one-third of the voting members of the Board. Any such petition for meeting shall state the specific purpose for holding such a meeting. The President shall call a meeting within seven days and conduct such a meeting within 14 days of receipt of such a petition.
  3. A quorum of the Board shall consist of one-third of the voting Board members.
  4. Voting members of the Board shall attend all meetings of the Board with the exception of two absences per term year, excused by the President. Additional absences require Board approval, or shall result in removal from the Board.
  5. Voting members of the Board shall serve on at least one standing committee of the IUSB Alumni Association
  6. The Board shall establish committees and select chairs as it deems necessary to meet goals. Chairs shall be responsible for developing the necessary programming to accomplish goals, and for convening meetings as needed.
  7. The Board shall elect ex officio members as it deems necessary to meet goals. The IU Alumni Association Executive Council representative from IUSB shall be an ex officio member of the Board.

Section 3. Duties and Employment of the Alumni Director.

  1. The IUSB Alumni Director shall serve as an ex officio member of the Board, the Executive Council and all committees. He/she is liaison to the IU Alumni Association staff.
  2. The IUSB Alumni Director is employed by the University.
