Article 1. Name

The name shall be "IU South Bend General Studies Alumni Association", a constituent alumni association of the Indiana University South Bend (IU South Bend) Alumni Association.

   
Article 2. Purpose

The purpose of the IU South Bend General Studies Alumni Association is to create, develop and maintain a communications network, to promote the General Studies Degree Programs, and to plan social and educational activities for the mutual benefit of General Studies Alumni and IU South Bend.

Article 3. Membership

Membership includes all IU South Bend General Studies Bachelor's Degree Alumni, Associate of Arts Alumni, as well as qualified others who are granted honorary membership for their service and support.

   
Article 4. The term "Board" shall refer to the Board of Directors of the Association, which is the governing body of the Association.  The Board will be selected according to the procedures, Article 7, set forth in these bylaws or any bylaws that may be adopted by the Association.
   
Article 5. Officers / Executive Committee / Executive Board
   
Section 1.   Officers, Executive Committee, and Executive Board
a.   The President, Vice-President, Secretary and Treasurer shall be the Officers and function as the Executive Committee.
b.   The Executive Board shall consist of the Officers and the Chairpersons of the Standing Committees (See Article 6).
c.   The immediate Past President shall serve as an ex-officio member of the Executive Board and of the Executive Committee and have voting rights.
d.   The Director of the IU South Bend General Studies Degree Programs shall serve as an ex-officio member of the Executive Board and of the Executive Committee.
     
Section 2.   The duties of the President shall be:
a.   To convene and preside over all meetings
b.   To execute the policies and business of the Association, subject to the approval of the Executive Board
c.   To serve as liaison to the Director of the IU South Bend Alumni Association
d.   To vote only if to break a tie
     
Section 3.   The duties of the Vice-President shall be:
a.   To assist, and/or to represent the President during his/her absence
b.   To perform such additional duties as may be delegated by the President
c.   The Vice-President is President Elect.
d.   In case a vacancy occurs in the Office of President, the Vice-President shall become President for the unexpired term, and is President Elect for the next regular term.  The unexpired term of Vice President will be filled at the discretion of the President.  The Secretary should be the first choice.
     
Section 4.   The duties of the Secretary shall be:
a.   To prepare meeting and event notices
b.   To keep a record of attendance
c.   To keep the minutes of all meetings, and to arrange for their distribution.
     
Section 5.   A Treasurer pro tem may be appointed by the Executive Board as required.
    Duties will be to report on the scholarship and IU South Bend General Studies accounts.
     
Section 6.   Terms of office of the President, Vice-President, Secretary, and Treasurer shall be for one year not to exceed two terms.  The term of office shall begin no later than February 1.
     
Article 6. Performance of Duties

If a board member fails to attend regular meetings of the board for three (3) consecutive meetings, or fails to perform any of the duties developing upon him/her as a Board Member, his/her office may be declared vacant by the board and the vacancy filled as herein provided.  The board may remove any executive officer from office for failure to perform the duties thereof, after giving the officer reasonable notice and opportunity to be heard.

Article 7. Selection of Officers

Nominating Committee

A Nominating Committee, consisting of the Executive Committee and three members who may be appointed by the President, will request candidates in the fall issue of In toUch, develop the slate of new officers, and present the slate at the fall board meeting.

     
Article 8. Standing Committees

  Communications

Develop and maintain a telephone communication system among members as defined in Article 3.

2.   Education

Organize lectures, seminars and discussions for alumni, students, and others.

3.   Fund Raising

Plan, conduct, and assess the annual mail fund-raising campaign and the phonathon.

4.   Marketing and Promotion

Publicize activities of the IU South Bend General Studies Alumni Association and the Associate and Bachelor's of General Studies Degrees.

5.   Newsletter

Produce and publish In toUch, the alumni newsletter, two times per year.

6.   Scholarships and Grants

Review applications for grants, nominations for merit scholarships, and make awards.

7.   Social Activities

Plan and execute social activities for alumni, students, and others.

8.   Special Events

Plan and execute special events as required.

     
Section 2.   Membership on the Executive Board

Chairpersons of Standing and Special Committees shall be members of the Executive Board.

     
Section 3.   Membership on the Board

The board of directors may elect At-Large members to the Board.  These At-Large members will fill in and serve on committees as needed.

     

Article 9.

Quorum

A quorum shall consist of 33 percent of the voting members of the Board.
